Terms of Use

These Terms of Use (the “Terms”) form a legal agreement between you and Mezzofy for your use of the Mezzofy Operator App (the “App”). By downloading, installing, signing in to, or using the App, you confirm that you have read and agree to these Terms. If you do not agree, do not use the App.

You must also have authority from your Merchant to use the App on its behalf. If you are using the App for an organisation, you accept these Terms for that organisation.

In these Terms:

• “Mezzofy”, “we” or “us” means the Mezzofy entity that publishes the App, as identified in Section 16.
• “Merchant” means the business that is authorised to use the Mezzofy platform and that engages you to operate the App.
• “Merchant User”, “you” means an individual authorised by a Merchant to use the App, such as counter or store staff.
• “Coupon” means a digital coupon, voucher or token issued or distributed through the Mezzofy platform.
• “Redemption” means validating and marking a Coupon as used; “Distribution” means issuing or delivering a Coupon to a customer.

The App is a tool for business use by Merchant Users only. It is not intended for consumers. To use the App you must:

• be at least 18 years old;
• be an employee, contractor or authorised representative of a Merchant; and
• have been granted access to the App by that Merchant.

Your right to use the App lasts only while your Merchant authorises it and while the Merchant’s own agreement with Mezzofy remains in force.

You are responsible for keeping your login credentials confidential and for all activity that takes place under your account. You agree to:

• use a device that is secured with a passcode or equivalent protection;
• not share your credentials or let another person use your account;
• enable device scanning features (camera or NFC) only for legitimate Redemption and Distribution; and
• notify your Merchant and Mezzofy promptly if you suspect any unauthorised access.

The App lets you validate and redeem Coupons and distribute Coupons to customers on behalf of your Merchant. When you process a transaction you confirm that it is genuine and carried out in the ordinary course of the Merchant’s business.

Mezzofy provides the infrastructure that records these transactions. Mezzofy is not the merchant of record for any sale, is not a party to the underlying purchase, and does not set the price, terms or refund policy of any Coupon. Honouring a Coupon and any related customer service remain the responsibility of the Merchant.

You must use the App lawfully and only for its intended purpose. You must not:

• process false, duplicate or fraudulent Redemptions, or redeem Coupons that were not genuinely presented by a customer;
• tamper with, bypass or interfere with Coupon validation, security or fraud controls;
• copy, modify, decompile or reverse engineer the App, except to the extent permitted by law;
• use the App to infringe any law, third-party right, or the rights of any customer; or
• upload malware or attempt to gain unauthorised access to the App or Mezzofy systems.

The Merchant that authorises you is the party responsible to Mezzofy under its own agreement. You act only within the authority the Merchant gives you. The Merchant is responsible for configuring which Coupons and functions you may access, for your conduct in the App, and for the commercial handling of Coupons, including validity, pricing and refunds.

You agree that Mezzofy may act on instructions received through your account and may share your activity in the App with your Merchant (see the Privacy Policy).

The App, the Mezzofy platform, and the underlying Coupon Exchange Protocol, including all software, designs, text and trademarks, are owned by Mezzofy or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the App on a supported device solely for your Merchant’s business, for as long as these Terms apply.

You receive no other rights. You must not remove any proprietary notices or use Mezzofy’s branding without written permission.

The App is distributed through third-party app stores (such as the Apple App Store and Google Play) and relies on your device, operating system and network. Your use is also subject to the applicable app store terms. Mezzofy is not responsible for third-party services, devices or networks that are outside our control, and the app store providers are not responsible for the App or these Terms.

We aim to keep the App available but do not guarantee uninterrupted or error-free operation. We may update, change, suspend or withdraw features, and may release updates that you need to install to keep using the App. Some functions require an active connection to Mezzofy servers. Operational support for Merchant Users is provided through your Merchant and through support@mezzofy.com.

To the fullest extent permitted by law, the App is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the App will be uninterrupted, secure, or free of errors, or that any Coupon data will always be accurate or complete.

To the fullest extent permitted by law, Mezzofy will not be liable for any indirect, incidental, special, consequential or punitive loss, or for any loss of profit, revenue, goodwill or data, arising out of or in connection with your use of the App. Mezzofy’s total liability to you in connection with the App is limited to SGD 100. Nothing in these Terms limits liability that cannot be excluded under Singapore law.

You agree to indemnify and hold Mezzofy harmless from any claims, losses, liabilities and reasonable expenses arising from your breach of these Terms, your misuse of the App, or your processing of any fraudulent or unauthorised Redemption or Distribution.

Mezzofy or your Merchant may suspend or terminate your access to the App at any time, including where we reasonably suspect misuse, fraud, a security risk, or a breach of these Terms, or where the Merchant’s agreement ends. On termination, your licence to use the App stops and you must stop using it. Sections that by their nature should survive (including intellectual property, disclaimers, liability and governing law) continue to apply.

We may update these Terms from time to time. When we make material changes we will update the effective date shown on this page and, where appropriate, notify you in the App or through your Merchant. Your continued use of the App after changes take effect means you accept the updated Terms.

These Terms are governed by the laws of the Republic of Singapore, and the courts of Singapore have exclusive jurisdiction over any dispute arising out of or in connection with them.
